NebulaN1ne Music NFT License Agreement: We Carry the Torch for
Charlie Kirk MP3 Track

This agreement outlines the rights you receive as the owner of the We Carry the Torch for
Charlie Kirk track and Non-Fungible Token (NFT). By acquiring and holding this NFT, you agree to the terms below.

● Parties: This agreement is between the current owner of the NFT ("You," "Owner") and
NebulaN1ne ("Label"), on behalf of the creator.

● Track: “We Carry the Torch for Charlie Kirk" (the “Recording")

● Writer/Producer: NATHAN DONALD WOSNACK and MJ JOHNATHAN PHILLIPS

● Associated Artwork: The visual art embedded within the NFT (the "Artwork").
License Grant

Upon lawfully acquiring the We Carry the Torch for Charlie Kirk track and NFT, you are
granted a limited, worldwide, non-exclusive, non-transferable license to use, copy, and display the Recording and the Artwork for your own personal, non-commercial use.

This license includes the right to:
1. Play and listen to the Recording privately.
2. Display the Artwork for personal enjoyment, such as on a screen or in a digital gallery.
3. Sell or transfer the NFT itself to another party. When you transfer the NFT, this license
transfers with it, and your rights are terminated.
Restrictions

The license granted is subject to the following restrictions. You may NOT:

● Commercialize: Use the Master Recording or Artwork for any commercial purpose,
including but not limited to, advertising, merchandising, or in any other product or service
that generates revenue.
● Create Derivative Works: Modify, edit, remix, sample, or create new works based on the
Recording or Artwork.
● Public Performance: Broadcast, stream, or publicly perform the Recording (e.g., in a
business, at a live event, on a public stream) without a separate public performance
license.
● Misrepresent Ownership: Falsely claim that you are the creator or copyright owner of
the Recording or Artwork.
● Separate the Elements: You may not separate the Recording from the Artwork to be
used, sold, or displayed independently of each other. They are licensed as a single unit
with the NFT.

Ownership and Copyright

You acknowledge and agree that:

● You own the NFT token itself, which is a record of ownership on the blockchain.
● You do not own the underlying intellectual property. The copyright, publishing rights,
and all other intellectual property rights in the Recording and the musical composition
remain with NATHAN DONALD WOSNACK, MICHAEL JOHNATHAN PHILLIPS and
NebulaN1ne.
● The copyright in the Artwork remains with its original creator and/or NebulaN1ne.
General Terms
● Termination: This license is tied to your ownership of the NFT. If you sell, trade, or
otherwise transfer ownership of the NFT, this license agreement is transferred to the new
owner, and your rights are immediately terminated.
● No Warranties: The We Carry the Torch for Charlie Kirk NFT is provided "as is" and "as
available" without any warranties.
● Governing Law: This agreement shall be governed by the laws of the jurisdiction in
which NebulaN1ne is based: Toronto, Ontario, Canada.
By holding this NFT, you confirm that you have read, understood, and agreed to these terms.
